We represented a developer and manufacturer of laser scanning systems and modeling software products in a $78 million merger with a publicly traded Swiss corporation.
We represented a management group of a major regional real estate brokerage company in its successful leveraged cash buyout in excess of $5 million.
We represented a Bay Area commercial fabric distributor with offices throughout the United States in connection with a $13 million stock sale of the company. Our representation included advising the client on tax issues and the overall structure of the sale transaction and negotiating and preparing the letter of intent, the stock sale agreement, and related transaction documents.
Corporate, Tax and Commercial
We assist our clients with their capital formation needs, including private placements of securities, the formation of limited partnerships and limited liability companies, and commercial loan financing. Our practice is not limited to any particular "side" of a transaction: we represent investors and companies seeking investments, borrowers and lenders, buyers and sellers, etc. Our business attorneys have expertise in the acquisition and sale of commercial and industrial properties and businesses throughout the western United States. We also advise clients in such areas as antitrust, trade regulation, and administrative agency matters, and evaluate the tax consequences of business formations and expansions, commercial financing, real estate transactions, buy and sell agreements, and mergers and acquisitions. We advise our clients in commercial lending matters, and have negotiated numerous loan documents, including security and subordination provisions.
Real Estate
Wulfsberg Reese Colvig & Firstman represents real estate developers, owners, and investors in connection with the myriad legal issues that arise in connection with the purchase, sale, financing, and development of commercial and residential real estate. We have significant experience in preparing and negotiating conveyances and drafting purchase and sale, financing and security documents for medium to complex real estate transactions. Our business attorneys have handled the acquisition, sale, exchange, and financing of shopping centers, industrial and commercial facilities, and commercial and residential developments, including condominium projects.
We represented fiduciaries owning over $100 million of Southern California real property concerning environmental and land use approvals and eventual resale for residential development. The matter involved multiple foreclosures and complex title and regulatory issues.
We represented the subsidiary of a major international cement company regarding the acquisition, operation, and many years later the disposition of its lightweight aggregate manufacturing operations in California. Our representation included numerous land use and development, and environmental approvals. We successfully completed the sale on a tax-favored basis of several operating facilities in California at a purchase price exceeding $15 million in a transaction which included complex labor, tax and employee benefits issues.
